Connected Watches Terms of Use

1. Use of this application (the " App ") and of the connected watch (the " Watch ") synchronised with it is governed by the following terms of use (the " Terms "). By downloading, installing and using the App, and synchronising and using the Watch, you give your consent to these Terms and you undertake to comply with them. If you do not agree with these Terms, or you are not of legal consenting age and have not obtained your parents' consent to these Terms, please delete this App.

2. Each following reference concerning "use of the App" includes use of the Watch synchronised with it. Each following reference concerning the "App" includes the software pre-installed on the Watch.

3. This App is the property of Tissot Ltd, Chemin des Tourelles 17, 2400 Le Locle, Switzerland (" Tissot ", " we ", " our ", " us "). It is not associated in any way with a third-party platform operator or sponsored or supported by any such operator.

4. We reserve the right to amend these Terms from time to time. Each time these Terms are updated, you will be asked to accept them anew upon launching the App. This App cannot be used without accepting these Terms.

5. You agree to comply with any instructions for the use of the App as issued by us.

6. To use the App, you need the Watch, a compatible mobile device and an internet connection. To the greatest extent permitted by law, we will not be liable for any telephone, internet, or other costs you may incur in connection with your use of the App.

7. We do not warrant that your access to the App, its connection to the internet or the geolocation signals will be uninterrupted, timely, or error-free. On the contrary, it may be temporarily or permanently suspended or withdrawn at any time and without notice.

8. We do not warrant that the App will be compatible with all hardware and software that you may use.

9. We do not warrant that the data or materials available on the App are correct, accurate, complete, up-to-date, or fit for a particular purpose. We exclude all liability in this regard to the greatest extent permitted by law.

10. You assume sole responsibility for saving and/or backing up any data or materials available on the App.

11. You also assume sole responsibility for any results obtained from your use of the App and for any conclusions drawn from such results.

12. To the greatest extent permitted by law, Tissot and our affiliates are excluded from all liabilities, claims, damages, losses, and expenses incurred by you as a result of or in connection with your downloading, installing, or using the App or not being able to do so.

13. You agree to indemnify and hold us harmless from all liabilities, claims, damages, losses, and expenses incurred by us or our affiliates as a result of your breach of these Terms and/or use of the App or Watch. We reserve the right to assume control of the defence of any third-party claim that is subject to indemnification by you, in which event you will cooperate with us in asserting any available defences.

14. If you choose, or are provided with, a user identification code, password, or any other piece of information as part of our security procedures, you agree to treat such information as confidential and not to disclose it to any third-party.

15. You agree not to reproduce, duplicate, copy, or sell the App or any part thereof without our prior written approval or that of our licensors.

16. You agree not to damage, interfere with, or disrupt any part of the App or any equipment or network on which it is stored.

17. You agree not to use the App in a way that (i) violates any laws, regulations, etc.; (ii) infringes the rights of any third parties; or (iii) is otherwise unlawful, illegal or prohibited.

18. You agree not to extract, change, re-code or re-engineer the App or any of its underlying technology, including but not limited to its source code. You agree not to access the App by any other means than by what the App is designed to be accessed with. You agree not to tamper with the achievements or the rankings on the App.

19. You agree not to use the data or materials available on the App for any commercial purposes.

20. You accept that by choosing a self-assigned name, you will not choose any designation that violates any rights, is not offensive, not defamatory, not harassing or not suited for the positive and constructive spirit amongst the user community of the App.

21. When used in connection with the Watch, the App may display information related to heart-rate frequency. Neither the Watch nor the App shall be considered as medical devices, as they were not designed as such. Heart-rate frequency is to be used for recreational purposes only and never for medical purposes, including but not limited to diagnosis, treatment, cure or prevention of any disease. It is advised to consult a doctor before starting any physical or nutrition program.

22. When used in connection with the Watch, the App may display calories burned within a certain timeframe (if this function is available and has been activated in the particular release). These calories are an estimate based on the steps counted by the Watch and on the profile data entered by you. Therefore, the calories counted do not necessarily reflect the actual calories burned and no assumptions shall be made on this indication, in particular none of medical relevance.

23. When used in connection with the Watch, the App may display tracking information and route suggestions based on your geolocation signals (GPS, GSM, Galileo, etc.). Such information and suggestions are provided on a best-effort basis and we are not responsible for their accessibility, legality, dangers involved, suitability for anyone, nor for the reliability or availability of the geolocation signals.

24. You agree and accept that Tissot has the right to disconnect or disable your account on the App should we have reason to believe that you have not complied with these Terms.

25. We and/or our licensors are the exclusive owners of any intellectual property rights in the App. No such rights are granted, assigned, or transferred to you under these Terms.

26. These Terms are governed by and will be construed in accordance with the laws of Switzerland, without regard to any conflict-of-law rules. Any claims, disputes, etc. arising out of or in connection with them or the App will be subject to the exclusive jurisdiction of the courts of Le Locle, Switzerland.
